GENERAL TERMS AND CONDITIONS – LA MISÉTO WHOLESALE (B2B)

Article 1 – Definitions

In these terms and conditions:

• Entrepreneur: La Miséto, based in Uden, the Netherlands, registered with the Chamber of Commerce under number 17181205.

• Customer: any natural or legal person acting in the course of a profession or business who enters into an agreement with La Miséto.

• Agreement: any commercial sales contract between La Miséto and the customer.

• Business day: Monday through Friday, excluding official (Dutch) public holidays.

These general terms and conditions apply exclusively to business-to-business (B2B) transactions. Consumer rights, such as the legal right of withdrawal, do not apply.

Article 3 – Applicability

These terms apply to every offer made by La Miséto and to every agreement between La Miséto and a business customer. Placing an order constitutes acceptance of these terms and conditions.

Article 4 – The offer

All offers are non-binding. Apparent mistakes or errors in the offer are not binding for La Miséto. Images and descriptions are indicative.

Article 5 – The agreement

The agreement is concluded once La Miséto confirms the order in writing or electronically. La Miséto reserves the right to refuse any order without stating a reason.

Article 6 – Minimum order amount

• First order: minimum €500 (excl. VAT)

• Repeat orders: minimum €300 (excl. VAT)

Article 7 – Prices

All prices are exclusive of VAT and shipping costs. Prices may be changed at any time. Price changes do not apply to confirmed orders.

Article 8 – Delivery and execution

Orders are processed with care and shipped within a maximum of 5 business days after payment. La Miséto does not ship on Saturdays, Sundays or public holidays.

Note: During (inter)national trade shows, delivery times may be temporarily extended. This will be communicated via the website.

The risk of loss or damage passes to the customer upon dispatch.

Article 9 – Complaints and returns

Visible defects or incorrectly delivered products must be reported by email to wholesale@lamiseto.com within 5 business days of receipt. Returns are only accepted with prior approval, within 7 business days of receipt, and in original condition and packaging. Return costs are borne by the customer.

La Miséto works exclusively with business customers. The consumer right of withdrawal does not apply.

Article 10 – Payment

Invoices must be paid within 14 days of the invoice date. La Miséto reserves the right to suspend delivery or terminate the agreement if payment is late.

Payment methods include: iDEAL, bank transfer, credit card, Bancontact, Apple Pay, Klarna (in instalments/direct/afterwards).

Article 11 – Shipping costs

Orders are shipped via PostNL, insured and with track & trace. Packages are insured up to €500.

Article 12 – Liability

La Miséto is not liable for indirect damage, consequential damage or loss of profit. Liability is limited to the invoice amount of the product in question, unless in cases of intent or gross negligence.

Article 13 – Intellectual property

All designs, texts and images of La Miséto are protected by copyright and may not be used or reproduced without written permission.
Retail partners may use La Miséto’s visual materials for promotional and sales purposes, provided they do so with credit and in consultation.

Article 14 – Final provisions

These terms are governed by Dutch law. Disputes will be submitted to the competent court in the district of North Brabant.

La Miséto reserves the right to amend these terms. The most recent version is available at wholesale.lamiseto.com.
